Terms of Use

1. Acceptance of Terms

Autoadify ("we", "us", "our") is operated by Tech Evolve Consulting (OPC) Private Limited, a company registered in India. Our website is available at autoadify.com.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and Tech Evolve Consulting (OPC) Private Limited ("Autoadify") governing your access to and use of the Autoadify platform, website (autoadify.com), APIs, and all related services (collectively, the "Service").

By accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Service. You may not use the Service if:

• you are prohibited from doing so under applicable law;
• your account has been previously suspended or terminated by us; or
• you are located in a jurisdiction subject to comprehensive trade sanctions.

3. Account Registration & Security

You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for:

• maintaining the confidentiality of your login credentials;
• all activity that occurs under your account, whether or not authorised; and
• notifying us immediately at support@autoadify.com if you suspect any unauthorised access.

4. Description of Services

Autoadify provides an AI-powered social media management platform including:

• AI Content Studio: generation of text, images, video, and audio using third-party AI models (OpenAI GPT and GPT Image, Anthropic Claude, Google Gemini/Veo, xAI Grok, Alibaba Qwen, Moonshot Kimi, ByteDance Seedream and Seedance, Runway, Kling, ElevenLabs);
• Auto-Scheduling: automated publishing to Instagram, Facebook, TikTok, LinkedIn, Reddit, and X/Twitter via those platforms' official APIs. Additional platforms may be added over time; only the platforms listed here are supported today;
• AI Agent and AI Workflows: a conversational agent that researches, drafts and generates content on request, and trigger-based workflows that generate and publish on a schedule or on a store event;
• E-Commerce Integrations: Shopify and WooCommerce product sync for social content generation;
• Analytics & Reporting: performance insights across connected platforms.

We may add, modify, or discontinue features at any time. Material changes adversely affecting paid subscribers will be communicated with reasonable notice.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must not use the Service to:

5.1 Spam & Inauthentic Behaviour

• send unsolicited or bulk messages; generate fake engagement (likes, follows, shares, comments, views); or artificially inflate follower counts;
• create or coordinate networks of fake or inauthentic accounts (bots, sockpuppets);
• use automation to evade platform detection mechanisms or access limits.

5.2 Prohibited Content

You must not use the Service to create, generate, upload, store, schedule or publish content that:

• is obscene, pornographic, sexually explicit, or produced primarily for sexual gratification;
• depicts, sexualises or exploits a child or any person who is or appears to be under 18, in any form, including generated, animated or stylised depictions. We treat any uncertainty about age in a sexual context as prohibited, and an assertion that a subject is an adult does not change this;
• is defamatory, harassing, threatening, or invasive of another person's privacy;
• promotes hatred, discrimination, or violence against any person or group on the basis of religion, race, caste, sex, gender, sexual orientation, place of birth, disability, ethnicity or nationality;
• is intended to incite or facilitate violence, terrorism, or self-harm;
• facilitates unlawful activity, including fraud, phishing, impersonation for deception, forged documents, weapons or explosives manufacture, or the trafficking of controlled substances;
• discloses another person's private information, including home address, telephone number, government identifiers, financial details or health information, without their consent;
• impersonates any person or entity, or depicts a real, identifiable individual in a sexual, defamatory or materially deceptive manner, including by synthetic or AI-generated likeness;
• infringes any patent, trademark, copyright or other proprietary right;
• is knowingly false or misleading, or presents fabricated endorsements, reviews or testimonials as genuine;
• violates the terms of any connected third-party platform, or any applicable law.

Advertising for adult-oriented brands. Suggestive, flirtatious or body-focused creative for lawful adult-oriented categories — lingerie, swimwear, alcohol, dating and similar — is permitted, provided it is not sexually explicit and complies with the policies of the platform you publish to. The prohibition above is on sexually explicit material, not on advertising of this kind.

You are responsible for content you create through the Service and for content you publish to your connected accounts, including where that content was generated with the assistance of automated tools. You confirm that you hold the rights and consents necessary for any material you upload, and that you may lawfully name or depict any third party appearing in your content.

5.3 System Integrity

• scrape or extract data from Autoadify or any connected platform beyond what is expressly permitted;
• reverse engineer or attempt to derive source code from the Service;
• introduce malicious code, interfere with the Service, or conduct denial-of-service attacks;
• use the Service to develop a competing product or benchmark for commercial publication without our consent.

5.4 Legal Compliance

• violate applicable laws, including data protection laws (GDPR, CCPA), anti-spam laws (CAN-SPAM, CASL, PECR), securities laws, or consumer protection regulations;
• engage in activities that require a licence or regulatory approval that you do not hold.

5.5 Automated Content Screening

We use automated systems to screen requests and content for compliance with this Section 5, both before content is generated and before it is published to a connected account. Where a request or item of content appears to breach this Section, we may decline to process it and will tell you why.

Automated screening is imperfect in both directions. It may decline material that does not in fact breach these Terms, and it may fail to detect material that does. A decision not to block content is not our approval of that content and does not transfer responsibility for it to us. You remain responsible for reviewing everything you publish.

5.6 Record of Refusals

Where we decline a request under Section 5.5 we record the refusal, including the category of breach, the time, the account concerned, and a short extract of the submitted text. We use these records to operate and improve the screening system, to respond to complaints and lawful requests, and to identify repeated or deliberate misuse. What we store, and how long we keep it, is set out in Section 6.1 of our Privacy Policy.

6. Third-Party Platform Compliance

By connecting a social media account, you represent and warrant that you are the authorised owner of that account, you have the right to grant Autoadify the OAuth permissions requested, and all content you publish through Autoadify complies with platform-specific content policies.

6.1 Meta (Instagram & Facebook)

You agree to comply with Meta's Platform Terms, Developer Policies, and Community Standards, including policies on automated interactions, coordinated inauthentic behaviour, and advertising. You must handle all Meta user data in accordance with Meta's data use restrictions.

6.2 TikTok

You agree to comply with TikTok's Terms of Service, Developer Terms, and Community Guidelines. You must not use the Service for coordinated inauthentic behaviour or to artificially amplify reach in violation of TikTok's policies.

Music and branded content. When you publish to TikTok through Autoadify you publish as yourself, and you confirm that you hold the necessary rights to the content and to any music it contains. By publishing you agree to TikTok's Music Usage Confirmation and, where you disclose the post as branded content, to TikTok's Branded Content Policy. You are solely responsible for disclosing commercial or branded content accurately using the controls Autoadify provides; Autoadify does not make that determination on your behalf.

Dependence on TikTok's authorisation. Access to TikTok publishing depends on Autoadify's continued authorisation under the TikTok Developer Terms of Service. If TikTok limits or withdraws that authorisation, or changes its APIs, the affected features may become unavailable without notice.

6.3 LinkedIn

Your use is governed by LinkedIn's User Agreement and API Terms of Use. You must not use Autoadify to scrape LinkedIn data, send unsolicited connection requests, or engage in automated or inauthentic activities.

6.4 Reddit

You agree to comply with Reddit's User Agreement, API Terms, and Moderator Code of Conduct. Autoadify must not be used to post spam, manipulate votes, or violate subreddit rules. You are solely responsible for compliance with each subreddit's specific rules.

6.5 X (Twitter)

Your use is governed by X's Terms of Service and Developer Agreement & Policy. You must not engage in automated bulk retweeting, artificial trend manipulation, or any activity prohibited under X's Automation Rules.

6.6 Rate Limits & API Quotas

Each platform imposes rate limits and API quotas. Autoadify will attempt to respect these limits, but you remain responsible for maintaining reasonable scheduling volume. We reserve the right to throttle or pause your automation if your usage risks violating a platform's policies or endangering API access for other users.

7. AI-Generated Content

7.1 Your Responsibility

You are solely responsible for all content generated through the Service and published on your behalf. The fact that content is AI-generated does not diminish your legal responsibility for it. You must review AI-generated content before publishing to ensure it is accurate, appropriate, and compliant with all applicable laws and platform policies.

7.2 AI Disclosure

Certain platforms and jurisdictions require disclosure when content is substantially AI-generated. You are responsible for adding any required disclosures (e.g., AI labels on images or captions) in accordance with applicable law and platform requirements.

7.3 Prohibited Prompts

You must not attempt to prompt or manipulate Autoadify's AI models to generate: content that sexualises minors; instructions for illegal activities; targeted harassment or hate speech; deceptive synthetic media; or content otherwise prohibited under Section 5. Requests of this kind are screened and refused under Section 5.5, and refusals are recorded under Section 5.6.

7.4 Third-Party AI Model Terms

AI models integrated into Autoadify are provided by third parties (OpenAI, Anthropic, Google, xAI, Alibaba, Moonshot AI, ByteDance, Runway, Kling, ElevenLabs, and others). Your use is subject to those providers' usage policies. We make no representations about the accuracy, reliability, or copyright status of AI-generated outputs.

8. Intellectual Property

8.1 Your Content

You retain ownership of content you upload or create. By using the Service, you grant Autoadify a limited, non-exclusive, royalty-free, worldwide licence to use, reproduce, process, and transmit your content solely to provide and improve the Service.

8.2 AI-Generated Outputs

To the extent AI-generated outputs are capable of copyright protection under applicable law, and subject to third-party AI providers' terms, such outputs are assigned to you. We do not claim ownership of your AI-generated content.

8.3 Autoadify IP

The Service, including all software, technology, designs, trademarks, and content provided by Autoadify, is owned by Tech Evolve Consulting (OPC) Private Limited or its licensors. You receive no ownership interest in the Service.

8.4 Feedback

If you provide feedback or suggestions, you grant us an irrevocable, perpetual, royalty-free licence to use that feedback without restriction or compensation.

9. Payment, Billing & Subscriptions

9.1 Subscription Plans

Autoadify offers Free, Pro, Team and Enterprise plans. Paid plans are billed monthly or annually. You authorise a charge to your payment method on file at the start of each billing period.

9.2 Merchant of Record

Payments for Autoadify subscriptions and credit purchases are processed by Dodo Payments, which acts as the Merchant of Record (reseller) for those transactions. This means that when you purchase a paid plan, your purchase contract for that transaction is with Dodo Payments — not with Tech Evolve Consulting (OPC) Private Limited — and Dodo Payments is responsible for billing, invoicing, and the collection and remittance of applicable sales tax, VAT, and GST. Your use of the Service itself remains governed by these Terms. Dodo Payments' own terms and privacy policy apply to the payment transaction; charges may appear on your statement under Dodo Payments' descriptor. We do not receive or store your full payment card details.

9.3 Price Changes

We may change prices with at least 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance.

9.4 Refunds

Subscription fees are generally non-refundable. If you cancel, you retain access until the end of the current billing period. Refund requests are handled through Dodo Payments as Merchant of Record; contact support@autoadify.com and we will assist. Enterprise contracts are subject to separate terms.

9.5 Taxes

Prices are exclusive of applicable taxes unless stated otherwise. As Merchant of Record, Dodo Payments determines, collects, and remits applicable sales tax, VAT, and GST on your purchase.

9.6 Free Trial

Where a free trial is offered, your payment method may be charged at the end of the trial unless you cancel before the trial period expires.

10. Privacy & Data

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the data practices described therein. You are responsible for obtaining all necessary consents from third parties whose data you process through the Service.

11. Suspension & Termination

11.1 By You

You may cancel your account at any time through your account settings or by contacting support@autoadify.com. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may limit, suspend or terminate your access to all or part of the Service, with or without notice, where we reasonably believe that:

• you have breached the Acceptable Use Policy in Section 5;
• you have otherwise materially breached these Terms;
• your use poses a risk to the security or integrity of the Service;
• your use risks violating a social media platform's API policies in a way that could affect other users;
• we are required to do so by law or regulatory authority; or
• you have engaged in fraud or provided false information.

In deciding what action to take, we consider the seriousness of the breach, whether it appears deliberate, and whether it has been repeated after a previous refusal. We will normally warn you before suspending an account. We may act immediately and without warning where the content involves a child, credible threats of violence, or a serious risk of harm to another person, or where immediate action is required by law.

11.3 Human Review of a Suspension

Decisions to suspend or terminate an account are taken by a member of our team, not by an automated system. If your account is limited, suspended or terminated, you may contact our Grievance Officer (Section 15.5) to have the decision reviewed, to put your point of view, and to contest the outcome.

11.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 12, 13, 14, and 15 survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTOADIFY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.

We do not warrant that the Service will be uninterrupted or error-free, and we do not guarantee any specific results from use of the Service, including social media engagement, reach, or revenue outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOADIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AUTOADIFY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tech Evolve Consulting (OPC) Private Limited and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of applicable law or third-party rights; or (e) your breach of any social media platform's terms of service.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law provisions. Subject to Section 15.3, the courts at [City], India have exclusive jurisdiction. For EU and UK users, mandatory consumer protection laws of your country of residence also apply, and nothing in these Terms deprives you of the protection of those laws.

15.2 Informal Resolution

Before initiating formal proceedings, contact us at legal@autoadify.com and give us 30 days to resolve the dispute informally.

15.3 Arbitration

Subject to exceptions for small claims and injunctive relief, any dispute not resolved informally will be referred to binding arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is [City], India and the language is English. The arbitrator's award is final and binding.

15.4 EU / UK and Indian Consumers

The arbitration clause does not apply to EU or UK users, who may bring claims in the courts of their country of residence. Nothing in this section limits the rights of Indian consumers under the Consumer Protection Act, 2019, including the right to approach the consumer forum with jurisdiction over their place of residence.

15.5 Grievance Officer (India)

In accordance with the Information Technology Act, 2000 and the rules made thereunder, our Grievance Officer is [Officer name], reachable at grievance@autoadify.com or at our registered office, [Registered office address], India. Complaints are acknowledged within 24 hours and resolved within 15 days of receipt.

16. General Provisions

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
• Severability: If any provision is unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any provision is not a waiver of our right to do so in the future.
• Assignment: You may not assign your rights without our prior written consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.

17. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or a prominent notice at least 14 days before they take effect (30 days for changes that materially reduce your rights). Continued use constitutes acceptance.
