Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and Autoadify, Inc. ("Autoadify") governing your access to and use of the Autoadify platform, website (autoadify.com), APIs, and all related services (collectively, the "Service").

By accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Service. You may not use the Service if:

• you are prohibited from doing so under applicable law;
• your account has been previously suspended or terminated by us; or
• you are located in a jurisdiction subject to comprehensive trade sanctions.

3. Account Registration & Security

You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for:

• maintaining the confidentiality of your login credentials;
• all activity that occurs under your account, whether or not authorised; and
• notifying us immediately at support@autoadify.com if you suspect any unauthorised access.

4. Description of Services

Autoadify provides an AI-powered social media management platform including:

• AI Content Studio: generation of text, images, video, and audio using third-party AI models (OpenAI GPT/DALL·E/Sora, Anthropic Claude, Google Gemini/Veo, xAI Grok, Alibaba Qwen, Runway, Kling, ElevenLabs, Suno AI);
• Auto-Scheduling: automated publishing to Instagram, Facebook, TikTok, YouTube, LinkedIn, Pinterest, Reddit, and X/Twitter via official APIs;
• AI Agents: autonomous agents for engagement, content repurposing, competitor monitoring, and product-to-content workflows;
• E-Commerce Integrations: Shopify and WooCommerce product sync for social content generation;
• Analytics & Reporting: performance insights across connected platforms.

We may add, modify, or discontinue features at any time. Material changes adversely affecting paid subscribers will be communicated with reasonable notice.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must not use the Service to:

5.1 Spam & Inauthentic Behaviour

• send unsolicited or bulk messages; generate fake engagement (likes, follows, shares, comments, views); or artificially inflate follower counts;
• create or coordinate networks of fake or inauthentic accounts (bots, sockpuppets);
• use automation to evade platform detection mechanisms or access limits.

5.2 Prohibited Content

• post content that is defamatory, harassing, hateful, discriminatory, violent, sexually explicit (unless expressly permitted by the target platform), or unlawful;
• impersonate any person, brand, or organisation;
• generate or distribute misinformation, deceptive deepfakes, or synthetic media designed to deceive without appropriate disclosure;
• violate any third party's intellectual property, privacy, or other rights.

5.3 System Integrity

• scrape or extract data from Autoadify or any connected platform beyond what is expressly permitted;
• reverse engineer or attempt to derive source code from the Service;
• introduce malicious code, interfere with the Service, or conduct denial-of-service attacks;
• use the Service to develop a competing product or benchmark for commercial publication without our consent.

5.4 Legal Compliance

• violate applicable laws, including data protection laws (GDPR, CCPA), anti-spam laws (CAN-SPAM, CASL, PECR), securities laws, or consumer protection regulations;
• engage in activities that require a licence or regulatory approval that you do not hold.

6. Third-Party Platform Compliance

By connecting a social media account, you represent and warrant that you are the authorised owner of that account, you have the right to grant Autoadify the OAuth permissions requested, and all content you publish through Autoadify complies with platform-specific content policies.

6.1 Meta (Instagram & Facebook)

You agree to comply with Meta's Platform Terms, Developer Policies, and Community Standards, including policies on automated interactions, coordinated inauthentic behaviour, and advertising. You must handle all Meta user data in accordance with Meta's data use restrictions.

6.2 TikTok

You agree to comply with TikTok's Terms of Service, Developer Terms, and Community Guidelines. You must not use the Service for coordinated inauthentic behaviour or to artificially amplify reach in violation of TikTok's policies.

6.3 YouTube / Google

Use of YouTube features is subject to the YouTube Terms of Service and Google API Services User Data Policy (including Limited Use requirements). We do not store YouTube user data beyond what is required to operate the Service.

6.4 LinkedIn

Your use is governed by LinkedIn's User Agreement and API Terms of Use. You must not use Autoadify to scrape LinkedIn data, send unsolicited connection requests, or engage in automated or inauthentic activities.

6.5 Pinterest

You agree to comply with Pinterest's Developer Terms of Service and Acceptable Use Policy. Content published must comply with Pinterest's Community Guidelines and advertising policies where applicable.

6.6 Reddit

You agree to comply with Reddit's User Agreement, API Terms, and Moderator Code of Conduct. Autoadify must not be used to post spam, manipulate votes, or violate subreddit rules. You are solely responsible for compliance with each subreddit's specific rules.

6.7 X (Twitter)

Your use is governed by X's Terms of Service and Developer Agreement & Policy. You must not engage in automated bulk retweeting, artificial trend manipulation, or any activity prohibited under X's Automation Rules.

6.8 Rate Limits & API Quotas

Each platform imposes rate limits and API quotas. Autoadify will attempt to respect these limits, but you remain responsible for maintaining reasonable scheduling volume. We reserve the right to throttle or pause your automation if your usage risks violating a platform's policies or endangering API access for other users.

7. AI-Generated Content

7.1 Your Responsibility

You are solely responsible for all content generated through the Service and published on your behalf. The fact that content is AI-generated does not diminish your legal responsibility for it. You must review AI-generated content before publishing to ensure it is accurate, appropriate, and compliant with all applicable laws and platform policies.

7.2 AI Disclosure

Certain platforms and jurisdictions require disclosure when content is substantially AI-generated. You are responsible for adding any required disclosures (e.g., AI labels on images or captions) in accordance with applicable law and platform requirements.

7.3 Prohibited Prompts

You must not attempt to prompt or manipulate Autoadify's AI models to generate: content that sexualises minors; instructions for illegal activities; targeted harassment or hate speech; deceptive synthetic media; or content otherwise prohibited under Section 5.

7.4 Third-Party AI Model Terms

AI models integrated into Autoadify are provided by third parties (OpenAI, Anthropic, Google, xAI, Alibaba, Runway, ElevenLabs, Suno AI, and others). Your use is subject to those providers' usage policies. We make no representations about the accuracy, reliability, or copyright status of AI-generated outputs.

8. Intellectual Property

8.1 Your Content

You retain ownership of content you upload or create. By using the Service, you grant Autoadify a limited, non-exclusive, royalty-free, worldwide licence to use, reproduce, process, and transmit your content solely to provide and improve the Service.

8.2 AI-Generated Outputs

To the extent AI-generated outputs are capable of copyright protection under applicable law, and subject to third-party AI providers' terms, such outputs are assigned to you. We do not claim ownership of your AI-generated content.

8.3 Autoadify IP

The Service, including all software, technology, designs, trademarks, and content provided by Autoadify, is owned by Autoadify, Inc. or its licensors. You receive no ownership interest in the Service.

8.4 Feedback

If you provide feedback or suggestions, you grant us an irrevocable, perpetual, royalty-free licence to use that feedback without restriction or compensation.

9. Payment, Billing & Subscriptions

9.1 Subscription Plans

Autoadify offers Free, Starter, Professional, and Enterprise plans. Paid plans are billed monthly or annually. You authorise us to charge your payment method on file at the start of each billing period.

9.2 Price Changes

We may change prices with at least 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance.

9.3 Refunds

Subscription fees are generally non-refundable. If you cancel, you retain access until the end of the current billing period. Enterprise contracts are subject to separate terms.

9.4 Taxes

You are responsible for all applicable taxes (VAT, GST, sales tax). Where required by law, we will collect and remit such taxes.

9.5 Free Trial

Where a free trial is offered, your payment method may be charged at the end of the trial unless you cancel before the trial period expires.

10. Privacy & Data

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the data practices described therein. You are responsible for obtaining all necessary consents from third parties whose data you process through the Service.

11. Suspension & Termination

11.1 By You

You may cancel your account at any time through your account settings or by contacting support@autoadify.com. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your account immediately if we determine that:

• you have materially breached these Terms;
• your use poses a risk to the security or integrity of the Service;
• your use risks violating a social media platform's API policies in a way that could affect other users;
• we are required to do so by law or regulatory authority; or
• you have engaged in fraud or provided false information.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 12, 13, 14, and 15 survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTOADIFY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.

We do not warrant that the Service will be uninterrupted or error-free, and we do not guarantee any specific results from use of the Service, including social media engagement, reach, or revenue outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOADIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AUTOADIFY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless Autoadify, Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of applicable law or third-party rights; or (e) your breach of any social media platform's terms of service.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. For EU users, mandatory consumer protection laws of your country of residence also apply.

15.2 Informal Resolution

Before initiating formal proceedings, contact us at legal@autoadify.com and give us 30 days to resolve the dispute informally.

15.3 Arbitration

Subject to exceptions for small claims and injunctive relief, any dispute will be resolved by binding individual arbitration under AAA rules. You waive your right to a jury trial and to participate in a class action.

15.4 EU / UK Users

The arbitration clause and class action waiver do not apply to EU or UK users. You may bring claims in the courts of your country of residence.

16. General Provisions

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
• Severability: If any provision is unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any provision is not a waiver of our right to do so in the future.
• Assignment: You may not assign your rights without our prior written consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.

17. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or a prominent notice at least 14 days before they take effect (30 days for changes that materially reduce your rights). Continued use constitutes acceptance.
